• Abstract: The independent director system is of great significance for the management of listed companies. It is regarded as an important scientific means to enhance the decision-making level of the board of directors and an important mechanism to protect the legitimate rights and interests of investors. Nowadays, our capital market is constantly developing and expanding, and the standards of corporate governance are also constantly improving. Against this backdrop, the role of independent directors in company activities has become increasingly important. People’s attention to them is also increasing. However, it is not clear what standards will be adopted to fulfill the duties of independent directors. There are many ambiguities. This has had a negative impact on the effectiveness of the independent director system and hindered its normal operation. 独立董事制度对于上市公司管理而言非常重要。它被视为提升董事会决策水平的重要科学手段，也是保护投资者合法权益的重要机制。如今，我国资本市场正在不断发展和壮大，公司治理标准也在不断提高。在此背景下，独立董事在公司活动中的作用变得愈发重要，人们对他们的关注度也在上升。然而，由于存在诸多模糊之处，有关独立董事履职的判定标准还不够清晰，这对独立董事制度的有效性产生了负面影响，阻碍了其正常运行。
