替代交易规则在违约损害赔偿中的适用研究

• Abstract: The substitute transaction rule is widely applied in the context of damages for breach of contract; howeve r, its value dimensions, conditions for application, and relationship with other rules governing damages for breach r emain unclear. The substitute transaction rule serves the purposes of calculating lost profits, fulfilling the duty to m itigate losses, and producing the effect of constructive performance; its application requires that the subject matter of the transaction have market value, that the right of rescission be exercised, and that the transaction be reasonabl e; Within the system of remedies for breach of contract, the order of priority for application is the liquidated damag es rule, the substitute transaction rule, and the market price rule. When specifically applying the substitute transacti on rule, it should be coordinated with the foreseeability rule, the contributory negligence rule, and the rules on setoff of gains and losses and cost deduction. 替代交易规则在违约损害赔偿中广泛适用，但其价值维度、适用条件及与其他违约损害赔偿规则的关系并不明晰。替代交易规则具有计算可得利益损失、履行减损义务和产生拟制履行效果的价值维度；替代交易规则适用需满足交易标的具有市场价值、行使解除权和交易合理的条件；违约救济体系中，适用优先级为违约金规则、替代交易规则和市场价格规则，在具体适用替代交易规则时应与可预见性规则、过失相抵规则、损益相抵与成本扣减规则相协同。
