• Abstract: The development of small and medium-sized enterprises (SMEs) hinges on robust legal safeguards. As the world’s second-largest economy and Asia’s first industrialized nation, Japan offers a compelling comparative framework. Given China and Japan’s geographical proximity and shared cultural heritage within Asia, this study adopts a functional principle approach to analyze the Law of the People’s Republic of China on Promotion of Small and Medium-sized Enterprises and Japan’s Small and Medium-sized Enterprise Basic Act. Examining the legislative foundations of both jurisdictions, the paper conducts a comparative analysis of their philosophical underpinnings, structural frameworks, and implementation efficacy. This reveals distinctive features and shared commonalities in SME legislation across different legal traditions, thereby offering insights into enhancing China’s SME legal support systems, promotionoriented legislation, and legal evaluation mechanisms. 中小企业的发展,离不开法律的保障。日本是世界经济第二大国，是亚洲最先实现工业化的国家。鉴于中国与日本同处亚洲，地理相近且文化背景相似，本文以功能性原则为目标，选取《中国中小企业促进法》和《日本中小企业基本法》作为比较的对象，从两国中小企业立法的基本情况出发，通过比较两者之间立法理念、内容结构和实施效果，揭示不同法律传统下中小企业立法的特点和共性。从而提出对我国中小企业法律服务配套、促进型立法和法律评估机制的进一步思考。
